Terms of Service

Agreement to Terms

By downloading, accessing, or using Ascend (the "App," "Service," or "Platform"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree to these Terms in their entirety, you must immediately discontinue use of the App.

These Terms constitute a legally binding agreement between you and Ascend ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the App following any modification constitutes your acceptance of the revised Terms.

Eligibility

2.1 Self-Attested Age, No Verified Parental Consent

We rely on your own representation of your age when you create an account. We do not independently verify age and do not operate a verified parental-consent process. If you are under 18, you should get a parent or guardian's permission before subscribing.

2.2 Subscription Billing for Users Under 18

The App is a paid subscription service billed through the Apple App Store using the Apple ID associated with your device. If you are under 18, purchases you make are billed to the App Store account holder (which may be a parent or guardian, e.g. via Family Sharing). Parents and guardians can review, restrict, or require approval for purchases made by a minor's Apple ID using Apple's own "Ask to Buy" and Family Sharing parental controls, which Ascend does not control. If you are a parent or guardian and did not authorize a subscription purchased by a minor in your household, please see Apple's purchase-refund process referenced in Section 7.

2.3 Children Under 13

The App is not directed to, and may not be used by, children under 13. If we learn that an account belongs to a child under 13, we will terminate that account and delete the associated data as described in our Privacy Policy.

2.4 Representations

By using the App, you represent and warrant that:

• You are at least 13 years of age;
• If you are under 18, you have obtained your parent or guardian's permission to use the App and to make any related purchases;
• You are not prohibited from using the App under any applicable law;
• Any information you provide is accurate, current, and complete.

Description of Service

Ascend is a personal goal-setting and productivity application that provides:

• AI-assisted goal analysis and personalized roadmap generation ("AI Coach");
• Daily task tracking, streak monitoring, and progress measurement;
• Gamification features including experience points (XP), levels, and achievement badges;
• Goal-setting and dream planning features;
• Access to all features via a paid subscription.

AI-Generated Content Disclaimer

4.1 Third-Party AI Provider

The AI Coach, goal analysis, and roadmap generation features are powered by the Google Gemini API, a third-party large language model service operated by Google LLC. When you use these features, the text you submit (such as your goal descriptions, journal entries, and chat messages) is transmitted to Google's servers for processing and to generate a response. Your use of AI-powered features is therefore also subject to Google's own terms and policies governing the Gemini API. We do not control, and are not responsible for, Google's handling of data once it is processed by their systems, beyond what is described in our Privacy Policy.

4.2 No Professional Advice

AI-generated content is for informational and motivational purposes only. It does not constitute financial, medical, legal, psychological, nutritional, fitness, or any other form of professional advice.

4.3 No Guarantee of Results

We make no representations, warranties, or guarantees that following any AI-generated plan will produce any specific outcome, result, or achievement. Individual results will vary based on factors entirely outside our control.

4.4 User Responsibility

You assume full and sole responsibility for any decisions made or actions taken in reliance on AI-generated content. Before acting on any AI suggestion that relates to health, finances, or legal matters, you should consult a qualified licensed professional.

4.5 AI Limitations

Artificial intelligence systems can produce inaccurate, incomplete, outdated, or contextually inappropriate responses. We do not warrant the accuracy, reliability, or fitness of any AI-generated content for any particular purpose. Do not submit sensitive information (such as government ID numbers, financial account numbers, or health records) in any AI Coach conversation or goal description.

User Accounts and Security

5.1 Account Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5.2 Unauthorized Access

You must notify us immediately of any unauthorized use of your account or any other breach of security.

5.3 Accurate Information

You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

5.4 One Account Per Person

You may not create more than one account. Accounts are non-transferable.

Acceptable Use

You agree that you will NOT use the App to:

• Violate any applicable local, national, or international law or regulation;
• Transmit any unsolicited commercial communications;
• Attempt to gain unauthorized access to any part of the App or its related systems;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code;
• Use automated scripts, bots, or scrapers to access the App;
• Impersonate any person or entity;
• Upload or transmit viruses or any other malicious code;
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the App;
• Use the App for any purpose that is unlawful or prohibited by these Terms.

Subscription and Payments

7.1 Subscription Required

Ascend operates on a subscription-only basis. There is no free tier. Access to the App requires an active paid subscription at all times.

7.2 Subscription Fee

Ascend offers the following subscription plans, billed automatically and recurring until canceled:

Prices are in USD and are those in effect as of the Last Updated date above; pricing may vary by region and is subject to Section 7.5. The exact plan and price you are agreeing to are shown on the in-app purchase screen, and confirmed via Apple's App Store purchase sheet, before you complete your purchase. By subscribing, you authorize us and Apple to charge your designated payment method automatically at the start of each billing cycle at the then-current rate until you cancel. We reserve the right to introduce, discontinue, or modify available plans.

7.3 Billing

Your subscription begins on the date of your first payment. Subsequent charges occur automatically at the start of each billing cycle for your selected plan. All purchases are processed by Apple through the App Store, in accordance with Apple's Media Services Terms and Conditions. If a payment fails, your access to the App may be suspended immediately until payment is resolved.

7.4 Cancellation

Because purchases are processed by Apple, subscriptions must be canceled through your Apple ID account settings (Settings → [your name] → Subscriptions on your device), not through the App or by contacting us. Cancellation takes effect at the end of the current billing period, and you will retain access until that period ends. We are unable to process cancellations on Apple's behalf.

7.5 No Partial Refunds

Subscription fees are non-refundable on a pro-rata basis. If you cancel mid-cycle, you will not receive a refund for the remaining days in that billing period, except where required by applicable consumer protection law. Refund requests for purchases made through the App Store must be submitted to Apple in accordance with Apple's refund policies, as we do not have the ability to issue refunds for App Store purchases directly.

7.6 Price Changes

We reserve the right to modify subscription pricing upon at least 30 days' written notice. Continued use after the effective date of a price change constitutes acceptance.

7.7 Billing Errors

If you believe you have been charged in error, contact us within 14 days at ascendgoals@gmail.com and we will investigate. Because Apple processes and controls all billing, any refund we approve will be issued by directing you to Apple's refund request process, or by requesting Apple issue the refund on our behalf where that option is available to us.

7.8 Free Trials

We may from time to time offer a free trial period at our discretion. Free trial terms will be disclosed at the time of the offer. Upon expiry of any free trial, your payment method will be charged the then-current price of the plan you selected (weekly, monthly, or yearly) unless you cancel before the trial ends.

Intellectual Property

8.1 Our Content

The App, including its design, code, graphics, text, and AI systems, is the exclusive intellectual property of Ascend and is protected by copyright, trademark, and other applicable intellectual property laws.

8.2 Your Content

You retain ownership of all content you submit to the App, including goals and planning data ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to use, process, and store such content solely for the purpose of providing and improving the Service.

8.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the App may be used by us without obligation to compensate you.

Disclaimers of Warranties

We do not warrant that:

• The App will meet your requirements;
• The App will be available at any particular time or location;
• Any errors or defects will be corrected;
• The results obtained from using the App will be accurate or reliable.

Limitation of Liability

Our total cumulative liability to you for all claims arising from or relating to the App shall not exceed the greater of: (a) the total amount paid by you to us in the 12 months preceding the claim, or (b) $100 USD.

Indemnification

You agree to defend, indemnify, and hold harmless Ascend and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any User Content you submit.

Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the App will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing a formal claim, you agree to contact us at ascendgoals@gmail.com and attempt to resolve the dispute informally for at least 30 days.

13.3 Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration in accordance with applicable arbitration rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

13.4 Class Action Waiver

You waive any right to participate in a class action lawsuit or class-wide arbitration.

Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ascend.

14.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in full force and effect.

14.3 No Waiver

Failure to enforce any provision shall not be construed as a waiver of our rights.

14.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms freely.
